Terms and Conditions of Use

These Terms and Conditions (the "Terms") govern access to and use of LexFlow, a Legal Operations platform delivered as Software as a Service (SaaS) by Dixi Project S.A.S. de C.V. By registering, contracting or using the platform — whether from the web portal, iOS and Android mobile apps, or the Amazon Alexa voice integration — you accept these Terms in full.

1. Nature of the service

LexFlow is delivered under a Software-as-a-Service (SaaS) model. The customer does not receive the source code, nor does it install the software on its own infrastructure: it accesses the platform over the Internet under a subscription.

The service is delivered in evolving versions: features, modules and technical dependencies are continuously updated without requiring deployments by the customer.

2. Authorized access channels

3. Account, credentials and MFA

The customer is solely responsible for keeping its users' credentials confidential. LexFlow enforces strong authentication via AWS Cognito and supports multi-factor authentication (MFA) per tenant. For privileged roles (super_admin, admin_tenant), MFA may be mandatory. Any activity performed with a user's credentials is deemed performed by that user.

4. Ownership of information

Information that the customer uploads, generates or processes in LexFlow is its exclusive property. LexFlow operates as a technical custodian under the data-processor regime (article 50 of LFPDPPP Regulations).

Upon contract termination for any reason, LexFlow delivers to the customer the entirety of its information in standard formats (CSV, JSON, PDF) during the agreed transition period, and thereafter securely deletes it.

5. Intellectual property of the software

The software, brands, logos, design, documentation, templates, data models and source code of LexFlow are the property of Dixi Project S.A.S. de C.V. and are protected by copyright, industrial property and trade-secret law.

Under these Terms, the customer receives a personal, non-transferable, non-exclusive, limited license to use the platform during the subscription period. Reverse engineering, decompilation, redistribution, sublicensing, copying or use to train competing models are expressly prohibited.

6. Service Levels (SLA)

  • Basic plan: 99.5% monthly availability SLA.
  • Advanced plan and AI plan: 99.9% monthly availability SLA.
  • Enterprise: extended 99.95% SLA.
  • Scheduled maintenance windows are notified at least 72 hours in advance.
  • SLA breach penalties are calculated as credits on the next month's invoice, per the commercial contract tables.

7. Limitations of liability

LexFlow is delivered "as is" with respect to the legal content of templates, AI-generated recommendations and auxiliary catalogs. Generative AI outputs are decision-support: professional responsibility for legal criteria, court filings, deeds, contracts and compliance lies with the customer and its attorneys.

To the fullest extent permitted by applicable law, LexFlow's aggregate liability to the customer for any claim arising under these Terms shall not exceed the amounts actually paid by the customer in the twelve months preceding the event giving rise to the claim.

LexFlow is not liable for: (i) indirect damages, lost profits or loss of opportunity; (ii) interruptions due to force majeure; (iii) decisions made by the customer based exclusively on AI suggestions without human review; (iv) content uploaded by the customer in violation of third-party rights; (v) downtime of third-party providers (AWS, Mifiel, SMS carriers, etc.) beyond the SLA commitments agreed with those providers.

8. Use exclusions

Use of LexFlow is prohibited for:

  • Any illegal activity or activity that violates third-party rights.
  • Money laundering, terrorism financing, or tax evasion.
  • Processing personal data without obtaining the applicable consent.
  • Attacks against the infrastructure: unauthorized penetration testing, data exfiltration, mass scraping, unauthorized bots.
  • Accessing other customers' information (cross-tenant) by any means.
  • Sharing credentials with people outside the customer's organization.

9. Payment, invoicing and suspension

Prices are published in USD and invoiced monthly in MXN at the Diario Oficial de la Federación (DOF) exchange rate of the invoicing day. Non-payment beyond 30 calendar days enables service suspension after notice. Termination for breach is governed by the signed commercial contract.

10. Changes to these Terms

LexFlow may amend these Terms at any time. Material changes will be communicated by email to the administrator user with at least 15 calendar days' notice. Continued use of the platform after the effective date implies acceptance of the new Terms.

11. Governing law and jurisdiction

These Terms are governed by the laws of the United Mexican States. For interpretation, performance and enforcement, the parties submit to the competent courts of Mexico City, expressly waiving any other jurisdiction that might apply by reason of present or future domicile.
